1.The agreement
By creating a workspace, adding a website or using the service you agree to these terms on behalf of yourself and the business you work for. If you do not have authority to bind that business, do not sign up. The Privacy Policy, Refund Policy and Data Processing Agreement are part of this agreement. In these terms, “we” and “us” means Mewdesk, the operator of Mewdesk.
You must be at least 18 years old. The service is offered to businesses and professionals; it is not a consumer product.
2.What the service is
Mewdesk is a software-as-a-service product: a live chat widget you embed on your websites, a dashboard where your team answers visitors, chat history, reports and the other features listed on the pricing page. We may change or improve features over time. If we discontinue a feature you paid for, we will tell admins in advance and offer a refund of the unused period if nothing comparable replaces it.
3.Your account and team
- Keep your password secret. You are responsible for everything done through your account until you tell us it has been compromised.
- The first person to sign up is the workspace admin. Admins can add agents and other admins, choose the plan, and are responsible for what their team does.
- Give us accurate contact details. Billing and legal notices go to the admin’s email address.
- Each person belongs to one workspace, and an email address can be used for only one account.
4.Your responsibilities toward your visitors
You decide to put the widget on your website, so you are the controller of your visitors’ data. You agree to:
- tell visitors in your own privacy notice that chats are handled by a service provider and what you do with them;
- have a lawful basis for collecting names, emails and messages, and honour visitors’ requests to access or delete their chats;
- not use the widget to collect payment card numbers, government IDs, health data or other sensitive data through chat;
- not deploy the widget on sites aimed at children where that would be unlawful.
5.Acceptable use
You may not use the service to:
- send spam, scams, phishing or malware, or impersonate another person or company;
- harass, threaten or abuse visitors or anyone else;
- break the law or help someone else break it, including sanctions and export rules;
- probe, overload or interfere with the service, bypass plan limits, or scrape other customers’ data;
- resell the service or offer it as your own without a written agreement with us.
We may suspend a workspace that breaks these rules. Where practical we warn first and give you a chance to fix the problem.
6.Free trial
Every new workspace starts with a 21-day free trial with the limits of the Pro plan. No payment details are needed to start it. When the trial ends without a plan being chosen, the widget goes offline on your websites and the dashboard asks an admin to choose a plan. Your data is kept, and everything comes back as soon as you subscribe.
7.Plans and limits
Each workspace is on one plan. Limits are enforced by the software and shown on the pricing page; the current plans are:
| Plan | Included |
|---|---|
| Pro: $49 per month, or $539 per year | 5 websites, 3,500 chats per month, 5 agents, Full chat history, Chat customization: header, colours, agent names, No Mewdesk branding, Reports for the last 14 days, with CSV export, Saved replies and chat ratings, Pre-chat form and business hours, Priority support |
| Business: $99 per month, or $1,089 per year | 15 websites, 8,000 chats per month, 12 agents, Reports for the last 90 days, per agent and per website, Response-time target and a weekly summary email, Auto-assignment and departments, Workspace activity log, Webhooks and Slack alerts, Announcements above the chat button, Dedicated support |
When a workspace reaches its monthly chat limit, conversations already open carry on and new visitors can leave a message through the offline form until the first day of the next month. We may change prices and limits; a change applies to an existing subscription only from its next renewal, and we tell admins about any price increase at least 30 days ahead.
8.Payment and renewal
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle’s own buyer terms apply to the purchase.
- Plans are subscriptions billed in US dollars, monthly or yearly, and paid by card or PayPal through Paddle’s checkout.
- A subscription renews automatically at the end of each billing period, at the price shown when you subscribed, until it is cancelled. Paddle charges the payment method on file on the renewal date.
- Moving to another plan or billing period takes effect right away; Paddle prorates the difference and charges or credits it immediately.
- Prices exclude sales tax and VAT unless the checkout says otherwise; Paddle adds any tax due where you are.
- Paid features turn on when Paddle confirms the payment to us, which usually takes seconds. If a renewal payment fails, Paddle retries it for a short period; if it still fails, the subscription ends.
Refunds are covered in the Refund Policy.
9.Ending a subscription
- A workspace admin can stop a subscription from renewing in Settings, under Billing, or through Paddle’s billing portal linked from there. The plan stays active until the end of the period already paid for, and no further charges are made.
- When a subscription ends, the widget goes offline and the dashboard asks an admin to choose a plan, as at the end of the trial. Data is not deleted; subscribing again brings everything back.
- Moving to a plan with lower limits does not delete data, but websites beyond the new limit stop serving the widget until you remove some, and a website shows only as many suggested questions as the new plan allows.
10.Suspension and termination
We may suspend or close a workspace that breaks these terms, has not paid, or creates a security or legal risk. While suspended, the dashboard is unavailable and widgets go offline.
You may close your workspace at any time by writing to support@mewdesk.com. Closing it deletes its users, websites, visitors, conversations and attachments. Billing records are kept as long as the law requires.
11.Your data and our rights
You own your workspace’s data: settings, visitor details, chats and attachments. You give us the licence we need to store, transmit and display it in order to run the service, and nothing more. We do not read chats except to support you when you ask, to investigate abuse, or when the law requires it.
We own the service, its code, design and name. You may embed the widget on your sites as the product intends and nothing else. If you send us ideas or feedback we may use them without owing you anything.
12.Availability and support
We work to keep the service available around the clock but offer no guaranteed uptime. Maintenance, provider outages and attacks can cause downtime. Support is by email at support@mewdesk.com; we aim to reply within 2 business days.
13.Disclaimer and limitation of liability
The service is provided “as is”. To the extent the law allows, we exclude all warranties, including fitness for a particular purpose, and we are not liable for lost profits, lost data, lost business or indirect or consequential loss.
Our total liability to you for everything arising out of this agreement is limited to the amount you paid for the service in the twelve months before the claim. Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
You will indemnify us against claims from your visitors or third parties that arise from your use of the service in breach of these terms or of the law.
14.Governing law and disputes
This agreement is governed by the laws of the Philippines. Before starting any proceedings, write to us and give us 30 days to resolve the matter. If that fails, the courts of the Philippines have exclusive jurisdiction, except that either side may seek an injunction anywhere to protect its data or intellectual property.
15.Changes to these terms
We may update these terms. Material changes are emailed to workspace admins at least 14 days before they take effect, and continuing to use the service after that date means you accept them. If you do not accept a change, tell us before it takes effect and we will refund the unused part of your current billing period.
